OFFICIAL CLUB CHARTER of the COATS & COCKTAILS MEMBER SOCIETY

NAME

The name of the organization shall be the COATS & COCKTAILS MEMBER SOCIETY (hereafter “C&C” or “Society”).

PURPOSE

The purpose of the Society will be to promote an atmosphere for the enjoyment and comradery of members in an upscale business-like atmosphere, and promote the welfare of the community.

MISSION

To facilitate the continued friendship and discussion among members of the Society.

MEMBERSHIP CLASSES

CHARTER MEMBER – Charter Members are the first members of the Society and were involved in its creation. Each Charter Member is a Charter Officer of the Society. Dues for charter members will be $100 per year.

JUNIOR CHARTER MEMBER – Junior Charter Members are those members who were involved in the founding of the society but refused to abide by its initial bylaws. Each Junior Charter Member is a Charter Officer of the Society. Dues for junior charter members will be $100 per year.

SOCIETY MEMBER – A Society Member are those members of the club who agree to be bound by the Societies official rules and regulations and who have been granted membership by a vote of the Officers. Yearly dues for Society members will be $25 per year.

Guests – Guests shall be those individuals invited by a Charter Member or Society Member to come to a C&C hosted event.

CHARTER & JUNIOR MEMBERS

The Charter Members shall be David Luke McCarley, Patrick Neil Blakely, and Matthew Wade Sansone. The Junior Charter Member shall be Matthew David Mullins. All will be referred to hereinafter as “Charter Members”.

SOCIETY MEMBERS

The initial Society Members shall be Melissa Hand, Timothy Brooks and Thurston Arthur Blakely III.

APPLICATION REQUIREMENTS FOR PROSPECTIVE MEMBERS

Guests wishing to become Society Members of C&C must abide by the following conditions:

Applicants will submit a membership request to membership@coatsandcocktails.org. or on the website www.coatsandcocktails.org.

They will be required to attend at least one (1) C&C function.

Upon a majority vote by the Officers the application shall be approved.

Any member previously terminated may re-apply for membership. Any outstanding penalties assessed against them shall be paid in full as part of the application process.

OFFICER POSITIONS

Officer positions for the society are as follows:

President & Executive Officer – Elected Position – The President will chair all official Society meetings. In the event of a tie vote, the president will flip the official tie breaking coin.

Secretary and Vice President – Elected Position – The Secretary will be responsible for taking or recording meeting minutes.

Treasurer – Elected Position – The Treasurer will be responsible for keeping the official account of the clubs finances. 

Event Coordinator – Elected Position – The event coordinator will be responsible for setting up services at official C&C member events and sending notice to the membership of upcoming C&C events.

Charter Officer – Non-Elected position. Limited to Charter Members only. – Charter Officer is a voting officer position only.

Elected Officer positions will be elected according to a vote of the officers every two years with the initial term of office starting on January 1, 2019. Voting for Officers will occur at the Annual Meeting. Each Officer shall have one vote for anything requiring a vote according to this charter. Absent officers will vote via proxy.

Elected Officers may be removed at any time with a majority vote by the other Officers. If an officer is removed for any reason, the Charter Members shall vote on their replacement, and the replacement shall serve the remaining term of the removed Officer. Each elected Officer position is limited to 2 simultaneous terms.

C&C EVENTS

Every member is required to attend four (4) events per calendar year. In the event a member does not attend four (4) events, their membership shall be taken under consideration by the Officers and shall be subject to termination or fines.

Annual Meeting

The Society will hold an annual meeting in the fourth quarter of every year. Officers will be required to attend, and a voting quorum must be present in order to proceed. In order for a quorum to be present, a majority of the Officers must be present. All members shall be invited to attend the annual meeting. All annual meetings will operate under the Rules of Order on the reverse of this charter document. The Society Treasury will fund the annual meeting.

C&C Fall Gala

Upon the successful founding of the society, once a year the society will have a gala in the fall for charity. The officers will pick the site of the gala, and it will be a black tie affair with all proceeds of the gala going to charity. This will be a ticketed event, with ticket prices set by the officers. Members and non-members are invited to attend. The event coordinator shall pick a list of charities, with the membership voting on one to receive the proceeds.

Bi-Monthly Coats & Cocktails Happy Hour

At least once every two (2) months, the Society will hold a happy hour. Invitations to the happy hour are to be sent to the membership two (2) weeks in advance. All members and member guests are invited to attend the happy hour. If, at the establishment selected by the Event Coordinator and approved by the Officers, there is Punch Service, it will be ordered for all in attendance. To pay for the punch service, all members will play “credit-card roulette”, a game in which every member in attendance must put forth one (1) credit card. All credit cards will be pooled together. The wait staff shall then select one card, and the card chosen will be the member who pays for that happy hours punch service. A tip of 15% is the minimum, unless, in the view of one of the Officers, the service did not warrant said tip. If there is no punch service, the first two (2) drinks by each member at the establishment will be purchased by the card chosen in credit card roulette. The limit on the cost of credit card roulette by any one individual shall be two hundred dollars ($200). In the event the bill for punch service or drinks is over that amount, additional credit cards shall be selected by the wait staff until the bill for each card is under the limit. Any member whose card is selected at a happy hour will be excluded from putting their credit card in at the next happy hour they attend.

Additional Events

Upon the discretion of the Officers, C&C may hold any other events it feels necessary for the advancement of the purpose and mission of the organization.

C&C EVENT DRESS CODE

Dress code will be strictly enforced. All members in attendance of any C&C Event will be required to adhere to the following:

Men must wear long pants, no open toe/hole shoes will be allowed, a button up shirt and a blazer or jacket.

Women must wear business professional attire, including dresses.

Flip flops or sandals will be strictly prohibited.

Black Tie, when used in any C&C event description, will mean it is a Black Tie event, but a tuxedo is not required just optional. Rather, dark suits for men and long dresses required or cocktail dresses for women at a minimum.

ENFORCEMENT ACTIONS

In the event any member infracts upon the bylaws of this Charter, the following shall occur:

For the first infraction, a penalty of $25 shall be assessed against the member.

For the second infraction, the member must put two (2) credit cards in credit card roulette at the next happy hour or pay a fine of $75.

For the third infraction, the member will be required to pay for the next credit card roulette.

For the fourth infraction, the Officers shall have the ability to impose reasonable penalties upon said member, including, but not limited to, termination of membership.

TREASURY

All dues, fines, and additional funds given to the Society shall be deposited with the Treasurer for use in Society events.

AMENDMENTS TO CHARTER

This charter may be amended once per year by a vote of 7/8ths from all current Officers. Any and all amendments will take effect January 1 of the coming year.
